Terms of Service

1. Agreement to Terms
By downloading, accessing, or using the Contextia AI application ("App") or any related services, websites, or platforms (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is provided by Contextia AI ("Contextia AI," "we," "us," or "our").
These Terms constitute a legal agreement between you and Contextia AI — not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Contextia AI provides an AI-powered smart home support platform for residential technology integration companies and their clients. The Service includes:
- A mobile application for end-user support (text chat, photo uploads, voice calling)
- An administrative dashboard for company management
- AI-assisted troubleshooting powered by third-party language models
- Escalation services that connect end users with their integration company's support team
The Service is designed as a white-label platform — your experience is branded by your integration company, but Contextia AI provides the underlying technology.
3. Accounts and Access
Access to the Service requires an invite code from an authorized integration company. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to:
- Provide accurate, current, and complete information during registration
- Update your information as necessary to keep it accurate
- Notify us immediately of any unauthorized access to your account
- Not share your account credentials with others
Your access to the Service is contingent on your integration company maintaining an active subscription with Contextia AI. If your integration company's subscription is terminated, your access may be suspended or revoked.
4. Account Termination
We may suspend or terminate your account at any time, with or without notice, for reasons including but not limited to:
- Violation of these Terms
- Misuse of the Service or abusive behavior
- Extended inactivity
- Your integration company's account being deactivated
- Request by your integration company
- Legal or regulatory requirements
Upon termination, your right to use the Service ceases immediately. We may, at our discretion, delete your account data in accordance with our Privacy Policy and applicable data retention obligations. You may request deletion of your data by contacting us.
5. Acceptable Use
You agree to use the Service only for its intended purpose of smart home support and troubleshooting. You may not:
- Violate any applicable laws or regulations
- Transmit harmful, offensive, threatening, or inappropriate content
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to harass, abuse, or harm another person
- Use automated scripts, bots, or scrapers to access the Service
- Attempt to circumvent rate limiting, authentication, or security measures
6. User-Generated Content
You may submit content through the Service, including text messages, photographs, voice recordings, and other materials ("User Content"). You retain ownership of your User Content, but by submitting it, you grant Contextia AI a non-exclusive, worldwide, royalty-free license to use, process, store, transmit, and display your User Content solely as necessary to:
- Provide the Service (including AI processing, escalation reports, and conversation history)
- Share relevant information with your integration company as part of the support workflow
- Send your content to third-party AI providers for processing (as described in our Privacy Policy)
- Improve the quality and accuracy of the Service
You represent that you have the right to submit all User Content and that it does not violate any third party's rights.
7. Voice Recording Consent
The Service includes an optional voice calling feature. By using voice calling, you acknowledge and consent to the following:
- Your voice is recorded and transmitted to our servers
- Voice recordings are transcribed to text using third-party AI services (Google Gemini via OpenRouter)
- Transcribed text is processed by AI models to generate responses
- AI responses are converted to speech using third-party text-to-speech services (ElevenLabs)
- Transcriptions and AI responses are stored as part of your conversation history
You may choose not to use the voice calling feature. All text-based chat features remain fully available.
8. AI-Generated Content
The Service uses artificial intelligence to provide troubleshooting guidance. You acknowledge that:
- AI-generated responses are informational only and should not be considered professional electrical, plumbing, HVAC, safety, or engineering advice
- Always follow manufacturer guidelines and consult qualified professionals for complex installations or safety-critical issues
- AI responses may occasionally be inaccurate, incomplete, or inappropriate despite our safety measures
- Contextia AI is not liable for any damages resulting from actions taken based on AI-generated guidance
9. Third-Party Services
The Service relies on third-party providers to deliver its functionality. These include, but are not limited to:
- OpenRouter / OpenAI / Google — AI language model providers for chat and voice processing
- ElevenLabs — Text-to-speech for voice calling
- Supabase — Database, authentication, and file storage
- Resend — Email delivery for escalation reports
- Vercel — Application hosting
- Apple / Google — Authentication via Sign in with Apple / Google Sign-In
We are not responsible for the availability, performance, or conduct of third-party services. Interruptions or failures in third-party services may temporarily affect the Service's functionality, and we disclaim liability for any such disruptions.
10. Fees and Payment
The App is currently provided free of charge to end users. Your access is made possible through your integration company's subscription with Contextia AI.
We reserve the right to introduce fees, premium features, or subscription tiers for end users in the future. If we do, we will provide advance notice and obtain your consent before charging any fees. Any such changes will not affect your current access without your agreement.
11. Intellectual Property
The Service — including its design, code, features, branding, and content — is owned by Contextia AI and protected by intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property rights in the Service.
In the event of any third-party claim that the App or your use of it infringes a third party's intellectual property rights, Contextia AI (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL CONTEXTIA AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR PROPERTY DAMAGE, ARISING FROM YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
Contextia AI (not Apple) is solely responsible for addressing any claims you or any third party may have relating to the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
13. Indemnification
You agree to indemnify, defend, and hold harmless Contextia AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of another person or entity.
14. Maintenance and Support
Contextia AI is solely responsible for providing maintenance and support for the App, as required under applicable law or as described in these Terms. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida.
16. Dispute Resolution and Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Contextia AI.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
17. Export Compliance
You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations.
18. U.S. Government End Users
The App and related documentation are "Commercial Items" as defined in 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." If accessed by a U.S. Government end user, use, duplication, and disclosure are subject to the restrictions set forth in these Terms.
19. Apple-Specific Terms
The following terms apply to your use of the App as obtained through the Apple App Store:
- You acknowledge that these Terms are between you and Contextia AI only, and not with Apple
- Apple has no responsibility for the App or its content
- Apple has no obligation to provide maintenance or support services for the App
- In the event of a failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) of the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App
- Contextia AI, not Apple, is responsible for addressing any claims relating to the App or your use of it, including product liability, legal compliance, and intellectual property claims
- In the event of a third-party intellectual property claim, Contextia AI (not Apple) is solely responsible for the investigation, defense, settlement, and discharge of such claim
- You must comply with any applicable third-party terms of agreement when using the App
- Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary
20. Force Majeure
Contextia AI shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, pandemic, war, terrorism, government actions, power failures, internet or telecommunications failures, third-party service outages (including AI providers, hosting, or email services), cyberattacks, or any other event beyond our reasonable control.
21. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or via email. Your continued use of the Service after modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
22. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
23. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Contextia AI regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
